Companies Fresh Start Scheme 2020

 

The Ministry of Corporate Affairs has come up with Companies Fresh Start Scheme, 2020 vide its Circular dated 30th March, 2020 to enable companies make good of any filing-related defaults, irrespective of duration of default, and make a fresh start as a fully compliant entity.

The Finance Minister Nirmala Sitharaman, has made various compliance related announcements in press conference on March 24, 2020 at 2:30 PM which included various extensions and relaxations related to Income Tax, Goods and Service Tax, Customs/ Central Excise, MCA, Insolvency and Bankruptcy Code and banks etc. Also, SEBI has decided to grant the certain relaxations from compliance stipulations specified under the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 to listed entities.

 4. Companies Amendment Bill,  2020 The Companies Amendment Bill, 2020 was introduced in Lok Sabha on March 19, 2020 proposing changes in the Act. The note deals with the proposed changes

Every Individual who has been appointed as an Independent Director or is interested tobe appointed as Independent Director is required apply for inclusion or registration of his/hername in the databank being created for MCA and take an online proficiency test.  7. Informal guidance of SEBI with respect to prohibition of insider trading regulations  

Inresponse to the numerous queries arising on the Amendment Regulations, SEBI under Securities and

Exchange Board of India (Informal Guidance) Scheme, 2003 (The Scheme) has clarified few points with respect to SEBI (Prohibition of Insider Trading) Regulations. 
 8. Amendment in SEBI SOP Circularand procedure for revocation and suspension of trading of securities SEBI vide its circular dated January, 22, 2020 has amended penal provisions for non-compliance and SOP for suspension and revocation of trading of specified securities. 
 9. Contribution to PM Care Fund an eligible CSR Activity. Government of India (GOI) is taking all necessary steps to ensure that we are prepared well to face the challenge and threat posed by the growing pandemic of COVID-19. GOI has set up the Prime Minister’s Citizen Assistance and Relief in Emergency Situations Fund (PM CARES Fund) with the primary objective of dealing with any kind of emergency or distress situation such as that posed by COVID-19 pandemic. Any contribution to the PM CARE Fund is an eligible CSR Activity.
 10. EGM through Video conferencing MCA allows companies to hold Extraordinary General Meetings (EGMs) through VC or OAVM complemented with e-Voting facility/simplified voting through registered emails
